1. Platform Description
MDMD (“MDMD,” “we,” “us,” or “our”) operates a technology platform located at mdmd.com (the “Platform”) that connects patients with independent, licensed healthcare providers (“Providers”) for telehealth consultations related to weight management.
MDMD is a technology platform. MDMD is not a healthcare provider, does not practice medicine, does not provide medical advice, and does not prescribe medication. All clinical decisions, including whether to prescribe medication, are made solely by the independent licensed Provider assigned to your case.
2. No Doctor-Patient Relationship with MDMD
Your use of the Platform does not create a doctor-patient relationship between you and MDMD. A doctor-patient relationship is established solely between you and the independent licensed Provider who reviews your information and conducts your telehealth consultation. Providers are independent contractors and are not employees or agents of MDMD.
3. Eligibility
To use the Platform, you must be: (a) at least 18 years of age; (b) a current resident of the United States; and (c) located in a state where MDMD’s services are available. By using the Platform, you represent and warrant that you meet all eligibility requirements.
4. Compounded Medication Disclosure
Providers on the Platform may prescribe compounded GLP-1 receptor agonist medications. You acknowledge and understand that:
- Compounded medications are not FDA-approved and have not been evaluated by the FDA for safety, efficacy, or quality.
- Compounded medications are prepared by licensed U.S. compounding pharmacies in accordance with applicable state and federal regulations.
- The decision to prescribe any medication, including compounded medications, is made solely at the discretion of your licensed Provider.
- Results vary. Weight loss outcomes depend on individual factors including adherence to provider recommendations, medication, diet, and physical activity. No outcomes are guaranteed.
5. Payment Terms
MDMD is a cash-pay platform. No health insurance is required or accepted. All fees are clearly displayed before you complete your purchase. Payment is due at the time of enrollment.
Your subscription includes: medication, licensed provider review, direct-to-door delivery, and unlimited provider messaging as described on the applicable plan page at the time of your purchase.
6. Cancellation Policy
Month-to-month plans: You may cancel at any time before your next billing cycle. Cancellation takes effect at the end of your current paid period. No refunds will be issued for partial billing periods.
Multi-month plans: If you enrolled in a multi-month plan, you are responsible for the full commitment period. Early cancellation may be subject to the terms disclosed at enrollment.

7. Limitation of Liability
To the maximum extent permitted by applicable law, MDMD, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: (a) your use of or inability to use the Platform; (b) any medical treatment or advice provided by Providers; (c) any medications prescribed or dispensed as a result of your use of the Platform; or (d) any unauthorized access to or alteration of your data.
In no event shall MDMD’s total aggregate liability exceed the amounts you have paid to MDMD in the twelve (12) months preceding the event giving rise to the claim.
8. Dispute Resolution & Mandatory Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
You and MDMD agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, and not through a court proceeding, except as otherwise specified herein.
Class action waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
Opt-out: You may opt out of this arbitration provision by sending written notice to admin@ocean.net within 30 days of first accepting these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. [Subject to confirmation with legal counsel]
10. TCPA Consent & Communications
By submitting your phone number through the Platform, you expressly consent to receive telephone calls, text messages (including SMS and MMS), and other electronic communications from MDMD, its affiliates, and its service providers regarding your care, account, and related services. These communications may be sent using an automatic telephone dialing system or prerecorded voice.
Message and data rates may apply. Message frequency varies. You may opt out of text messages at any time by replying STOP to any message. Opting out of text messages may limit our ability to communicate with you regarding your care.
Your consent is not a condition of purchasing any goods or services.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where required by law, by providing additional notice (such as email notification). Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
